Terms of Service

These Terms of Service ("Terms") are a binding legal agreement between you ("you" or "Customer") and JRW Management, LLC (d/b/a Something Nice Bakery) ("we," "us," "our," or the "Bakery"). They govern your access to and use of the website at somethingnicebakery.com and any related subdomains, ordering pages, communications, and services we provide (collectively, the "Services"). By accessing the Services, creating an account, placing a preorder, or clicking any box or button indicating agreement, you accept these Terms in full. If you do not agree, do not use the Services.

1. Eligibility

You must be at least eighteen (18) years of age, or the legal age of majority in your jurisdiction if higher, and able to enter a binding contract under Georgia law to use the Services. By using the Services you represent and warrant that you meet these requirements and that all information you submit is true and accurate.

2. Accounts & Registration

You may create an account to place preorders, save preferences, receive notifications, and manage pickups. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. When you create an account you agree to these Terms, our Privacy Policy, our Cookie Policy, and our Refund, Return & Cancellation Policy.

3. Preorders & Payment

The Bakery operates on a preorder, batch, and pickup basis. Availability is limited to advertised batch windows. Prices are shown in United States Dollars and may change at any time before you place an order. Applicable sales, use, and excise taxes will be added at checkout in accordance with Georgia law and the law of any other applicable jurisdiction. Payment is processed by our third-party payment processor (currently Stripe, Inc.). You authorize us and our processor to charge your chosen payment method for the full order total, including taxes and fees. Your order is not confirmed until payment has been fully captured.

4. All Sales Final — No Cancellations, No Refunds, No Returns

Because we produce perishable food to order in small batches, all sales are final at the moment payment is captured. We do not accept cancellations, returns, exchanges, or refunds for any reason, including missed pickup, change of mind, dietary preference, taste, quantity ordered, or scheduling conflict. Full details, and the very limited food-safety exceptions we may consider at our sole discretion, are described in our Refund, Return & Cancellation Policy, which is incorporated into these Terms by reference.

5. Pickup, Risk of Loss & Food Safety

Orders are prepared for porch pickup at the address and window specified at checkout. Title and risk of loss transfer to you when your order is placed for pickup at the designated location and time. You are responsible for retrieving your order within the pickup window, maintaining proper temperature and handling thereafter, and consuming perishable items promptly. Baked goods are made in a facility that handles wheat, dairy, eggs, tree nuts, peanuts, soy, and other allergens; we do not warrant against cross-contact. If you have a food allergy or sensitivity, do not order.

6. Notifications, Email & SMS

Program name: Something Nice Bakery. Message types: (a) account/security — one-time verification codes when you request a phone sign-in code; (b) transactional — order confirmations, pickup reminders, pickup changes, and receipts tied to an order you placed; and (c) marketing — new-batch alerts, seasonal offers, and promotions, only if you separately opt in.

One-time verification codes. When you request a phone sign-in code, you are asking us to send a single SMS containing a verification code. Message and data rates may apply. Consent to receive marketing texts is not required to receive a verification code or to make a purchase.

Transactional messages. If you provide a mobile number and elect SMS pickup updates, you consent to receive order-related messages from the Bakery. Frequency depends on your orders (typically 1–3 messages per order). Message and data rates may apply.

Marketing messages. If you separately opt in to marketing SMS, you consent to receive recurring marketing text messages from the Bakery at the mobile number you provide. Message frequency varies. Message and data rates may apply. Reply STOP at any time to unsubscribe from marketing SMS, or HELP for help. You can also unsubscribe from marketing email at any time via the link in any marketing email. Consent to marketing messages is not a condition of any purchase.

Carrier liability. Wireless carriers are not liable for delayed or undelivered messages. Supported carriers include, but are not limited to, AT&T, Verizon, T-Mobile, Sprint, US Cellular, and their MVNOs.

Privacy of mobile opt-in data. Mobile information (phone number, carrier, and consent choices) collected for these messaging programs will not be shared with third parties or affiliates for their own marketing or promotional purposes. Service providers who help us deliver messages (for example, our SMS gateway) may process the data solely to deliver the messages you have requested, and only under contract with us.

7. Promo Codes & Loyalty Rewards

Promotional codes, review rewards, and survey discounts are issued at our discretion, are non-transferable, have no cash value, may be limited to one per customer or per order, may expire, and may be revoked at any time for suspected abuse. We may modify or terminate any promotion without prior notice.

8. Intellectual Property

The Services, including all recipes, photographs, videos, text, graphics, logos, trademarks (including "Something Nice Bakery" and "Cinnamon, spice & something nice"), trade dress, and software, are owned by or licensed to JRW Management, LLC (d/b/a Something Nice Bakery) and are protected by United States and international intellectual-property laws. You are granted a limited, revocable, non-exclusive, non-transferable license to access the Services for personal, non-commercial use. Any other use — including scraping, reproduction, distribution, resale, or training of artificial-intelligence models — is prohibited without our prior written consent.

9. User Content

If you submit reviews, photos, comments, testimonials, contact-form messages, or other content ("User Content"), you grant the Bakery and its affiliates a perpetual, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, adapt, publish, translate, and display the User Content in any media, including marketing. You represent that you own or have the rights necessary to grant this license and that the User Content does not violate any third-party right or law.

10. Acceptable Use

You agree not to (a) reverse engineer, probe, or interfere with the Services; (b) upload malicious code; (c) misrepresent your identity or use another person's payment method without authorization; (d) resell orders; (e) harvest data; or (f) use the Services to violate any law or the rights of others.

11. Third-Party Services

The Services rely on third-party providers, including Stripe (payments), Supabase (hosting and database), Resend (email delivery), Google (analytics, tag management, ads, and business profile), and SMS gateways. Their use is governed by their own terms and privacy policies. We are not responsible for their acts or omissions.

12. Disclaimer of Warranties

THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY GEORGIA LAW, IN NO EVENT SHALL JRW MANAGEMENT, LLC (D/B/A SOMETHING NICE BAKERY), ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR ANY PRODUCT. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR ANY ORDER SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE ORDER GIVING RISE TO THE CLAIM OR (B) FIFTY U.S. DOLLARS ($50.00).

14. Indemnification

You agree to defend, indemnify, and hold harmless the Bakery, its affiliates, and their respective members, managers, officers, employees, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Services, (b) your breach of these Terms, or (c) your violation of any law or third-party right.

15. Governing Law & Venue

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Georgia and applicable United States federal law, without regard to conflict-of-laws principles. You and the Bakery consent to the exclusive jurisdiction and venue of the state and federal courts located in Fulton County, Georgia, for any dispute not subject to arbitration below.

16. Informal Resolution; Binding Arbitration; Class-Action Waiver

Please read this section carefully — it affects your legal rights. Before filing any claim, you agree to first contact us at hello@somethingnicebakery.com and attempt in good faith to resolve the dispute informally for at least sixty (60) days. Any dispute that is not resolved informally shall be resolved by final, binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Fulton County, Georgia, in accordance with the Federal Arbitration Act. You and the Bakery each waive any right to a jury trial and to participate in a class, collective, or representative action. Small-claims court claims and equitable claims to protect intellectual-property rights are excluded from this agreement to arbitrate. You may opt out of arbitration by emailing hello@somethingnicebakery.com within thirty (30) days of first accepting these Terms with the subject line "Arbitration Opt-Out."

17. Changes to These Terms

We may update these Terms from time to time. The "Effective" date at the top will reflect the most recent revision. Material changes will be communicated by email or by posting a notice on the Services. Your continued use after the effective date constitutes acceptance.

18. Miscellaneous

These Terms, together with the Privacy Policy, Cookie Policy, and Refund, Return & Cancellation Policy, constitute the entire agreement between you and the Bakery regarding the Services. If any provision is held unenforceable, the remainder shall remain in full force. Our failure to enforce a right is not a waiver. You may not assign these Terms without our prior written consent; we may assign freely. No agency, partnership, or joint venture is created by these Terms.
